These terms of use are entered into by and between You and the American Association of Nurse Anesthesiology (“AANA,” “we,” or “us“). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, “Terms of Use“), govern your access to and use of the Anesthesia Answers website location at https://anesthesiaanswers.org, including all content and functionality offered on or through that website (the “Website”), which is provided solely for general educational and informational purposes. 

Please read the Terms of Use carefully before using the Website. By using the Website, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, found at http://aana.com/privacy-policy/, incorporated herein by reference. You must not access or use the Website if You do not want to agree to these Terms of Use or the Privacy Policy.  

No Medical Advice; Educational Purpose Only 

The content available on the Website is provided solely for general educational and informational purposes to help patients and members of the public learn about anesthesia, anesthesia care, and related topics. The Website is operated by AANA, a nonprofit professional association representing Certified Registered Nurse Anesthetists (CRNAs) and nurse anesthesiologists. 

Nothing on the Website constitutes medical advice, professional consultation, clinical diagnosis, or treatment recommendations for any individual patient, medical condition, or clinical situation. The content on the Website is not a substitute for the advice, diagnosis, or treatment provided by a qualified healthcare professional. You should not rely on any information on the Website to make medical or health-related decisions. Use of the Website does not create a patient-provider, physician-patient, or any other healthcare relationship between You and AANA or any of its members, employees, or contributors. AANA does not provide patient care or clinical services through the Website. 

The educational content on the Website reflects general information current as of its publication date and may not account for subsequent developments in medical practice, technology, or regulatory requirements. AANA makes no representation that the content is applicable to any individual’s particular medical circumstances. 

Intellectual Property Rights

AANA invests significant resources to create content, including articles, graphics, videos, and other forms of media. The majority are protected under the copyright laws of the United States. AANA diligently guards against infringement of its copyrighted materials. The Website and its entire contents, features, and functionality (including but not limited to all information, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by AANA, its licensors or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.  The Terms of Use outline certain conduct that violates AANA copyrights.   

These Terms of Use permit You to use the Website for Your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website, except as follows: 

  • Your computer may temporarily store copies of such materials in RAM incidental to Your accessing and viewing those materials. 
  • You may store files that are automatically cached by Your Web browser for display enhancement purposes.

Indemnification 

You agree to defend, indemnify and hold harmless the AANA, its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to Your violation of these Terms of Use or Your use of the Website, including, but not limited to, any use of the Website’s content, other than as expressly authorized in these Terms of Use, or Your use of any information obtained from the Website. 

Governing Law and Jurisdiction 

All matters relating to the Website and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Illinois without giving effect to any choice or conflict of law provision or rule (whether of the State of Illinois or any other jurisdiction). 

Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of Illinois, in each case located in the City of Chicago and County of Cook. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts. 

Arbitration 

Any dispute, claim, or controversy arising out of or relating to these Terms of Use or Your use of the Website, including disputes concerning their interpretation, violation, invalidity, non-performance, or termination, shall be resolved through final and binding arbitration administered by the American Arbitration Association, applying Illinois law. Either party may initiate arbitration pursuant to this section. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.   

If You have a claim or dispute, You must first send to AANA, by certified mail, a written Notice of your claim or dispute (“Notice”).  The Notice to AANA must be addressed to: Legal Affairs Department, The American Association of Nurse Anesthesiology, 10275 W. Higgins Rd, Suite 500, Rosemont, IL 60018 (“Notice Address”).  If AANA initiates arbitration, it will send a written Notice to any contact information You have provided to AANA or, if none, by posting notice on the Website. A Notice, whether sent by You or by AANA, must (a) describe the nature

and basis of the claim or dispute; and (b) set forth the specific relief sought (“Demand”).  If AANA and You do not reach an agreement to resolve the claim within thirty (30) days after the Notice is received, You or AANA may commence an arbitration proceeding.   

You may opt out of this arbitration provision by sending written notice to AANA at the Notice Address within thirty (30) days of Your first acceptance of these Terms of Use. Your opt-out notice must include Your name and mailing address, and a clear statement that You wish to opt out of binding arbitration. If You opt out, You and AANA retain all rights to pursue claims in court, subject to the Governing Law and Jurisdiction provisions above. 

YOU AND AANA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.  Further, unless both You and AANA agree otherwise, the arbitrator may not consolidate more than one person’s claims with your claims, and may not otherwise preside over any form of a representative or class proceeding.    

Waiver and Severability 

No waiver by the AANA of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the AANA to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision. 

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect. 

Entire Agreement 

The Terms of Use, our Privacy Policy, and any other relevant documents or policies constitute the sole and entire agreement between You and the American Association of Nurse Anesthesiology with respect to the Website and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Website.
